1. Acceptance of Terms

Welcome to Credentials 360 LLC ("Credentials 360," "Company," "we," "our," or "us").

These Terms and Conditions ("Terms") govern your access to and use of the Credentials 360 website, services, subscriptions, products, communications, and related resources.

By accessing our website, purchasing services, creating an account, subscribing to a service, submitting information, or otherwise using our services, you agree to be bound by these Terms and our Privacy Policy, Refund Policy, Subscription Policy, and any additional service-specific agreements incorporated herein by reference.

If you do not agree to these Terms, do not use our website or services.

2. Services

Credentials 360 provides healthcare credentialing, enrollment, licensing support, compliance support, provider verification, credentialing readiness assessments, primary source verification services, subscription services, and related administrative consulting services.

Examples of services offered may include:

  • Commercial payer enrollment

  • Medicare enrollment assistance

  • NPI registration assistance

  • DataSpring/CAQH profile setup assistance

  • Credentialing readiness audits

  • Provider credential verification

  • Primary source verification services

  • Subscription-based credentialing support services

  • Compliance-related administrative services

Service offerings may be modified, added, suspended, or discontinued at any time without prior notice.

3. Independent Administrative Service Provider

Credentials 360 acts solely as an independent administrative service provider and consultant.

Credentials 360 is not:

  • A health insurer

  • A payer

  • A government agency

  • A licensing board

  • An accreditation organization

  • A legal services provider

  • A law firm

  • An accounting firm

  • A tax advisor

  • A healthcare provider

Nothing contained on our website or in our services constitutes legal, accounting, tax, medical, reimbursement, employment, or regulatory advice.

Clients should consult qualified professionals regarding legal, tax, reimbursement, employment, compliance, or regulatory matters.

4. Client Responsibilities

The Client agrees to:

  • Provide accurate, current, and complete information.

  • Promptly respond to requests for information or documentation.

  • Maintain all required professional licenses, certifications, registrations, and credentials.

  • Review all submitted information for accuracy.

  • Personally complete any required provider attestations.

  • Notify Credentials 360 of any material changes affecting submitted information.

The Client is solely responsible for the accuracy of all information supplied to Credentials 360.

Credentials 360 may rely upon information provided by the Client without independent verification unless expressly agreed otherwise.

5. Best Practices and Compliance Commitment

Credentials 360 is committed to following industry best practices, ethical standards, payer requirements, accreditation standards, and applicable laws and regulations when performing services on behalf of our clients.

To protect the integrity, security, and compliance of provider credentialing and enrollment activities:

  • We will never attest, certify, or re-attest information on behalf of a provider.

  • We will never request client passwords, authentication codes, multi-factor authentication credentials, or security questions.

  • We will never access provider accounts using provider login credentials.

  • We will never encourage clients to bypass security requirements, payer requirements, licensing requirements, accreditation standards, or compliance obligations.

  • Providers remain solely responsible for reviewing and attesting to information submitted to credentialing organizations, payers, licensing boards, CAQH, PECOS, NPPES, and other applicable entities.

Credentials 360 reserves the right to decline any request that we reasonably believe would violate applicable laws, regulations, payer requirements, licensing standards, privacy obligations, or industry best practices.

6. Protected Health Information (PHI) & Credentials 360 Security Standards

Credentials 360 generally does not require Protected Health Information (“PHI”) to perform credentialing, enrollment, verification, licensing, or compliance services. We primarily process Provider Personally Identifiable Information (PII).

While our credentialing services only require provider PII, we recognize that patient details can sometimes appear on history forms or hospital privilege logs. We eliminate your compliance risk by proactively executing a BAA to guarantee a zero-liability environment. Credentials 360 is fully HIPAA-protected and utilizes Encyro for all document transmissions, ensuring administrative, physical, and technical safeguards.

Clients shall not submit patient records, treatment records, claims data, medical charts, or documents containing PHI unless specifically required and authorized by Credentials 360. Any PHI submitted must:

  • Be limited to the minimum information necessary.

  • Be transmitted only through our approved secure channels (e.g., encrypted Encyro).

  • Comply with all applicable privacy and confidentiality laws.

Clients are responsible for ensuring that all PHI is appropriately redacted when redaction is legally permissible. Credentials 360 reserves the right to reject, remove, or request replacement of documents containing unnecessary or unredacted PHI. The Client remains solely responsible for compliance with HIPAA and all other applicable privacy laws.

7. Account Security

Clients are solely responsible for maintaining the security of their accounts, usernames, passwords, authentication devices, and credentials.

Credentials 360 does not request, collect, store, or maintain client passwords or authentication credentials.

Clients shall never provide passwords, authentication codes, or account access credentials to Credentials 360 personnel.

Any account action requiring provider authentication must be completed directly by the provider unless expressly permitted by the applicable organization.

8. No Guarantee of Approval or Outcomes

Credentials 360 facilitates administrative processes and provides professional support services.

However, Credentials 360 does not guarantee:

  • Credentialing approval

  • Enrollment approval

  • Medicare approval

  • Payer participation

  • Network acceptance

  • Licensing approval

  • Employment eligibility

  • Hospital privileges

  • Reimbursement rates

  • Processing timelines

  • Third-party decisions

All approvals, determinations, timelines, participation decisions, and credentialing outcomes are controlled solely by the applicable payer, licensing authority, facility, governmental agency, credentialing organization, or other third party.

The Client acknowledges that such decisions are outside the control of Credentials 360.

9. Fees and Payment

All prices displayed on the Credentials 360 website are listed in U.S. Dollars.

Payment is due at the time of purchase unless otherwise stated in a separate written agreement.

Credentials 360 reserves the right to modify pricing, fees, packages, subscriptions, and service offerings at any time. Price changes shall not affect services already purchased.

The Client authorizes Credentials 360 and its payment processors to charge all applicable fees, taxes, and charges associated with purchased services.

Failure to remit payment may result in suspension, delay, or termination of services.

10. Third-Party Fees and Expenses

Unless expressly stated otherwise, service fees charged by Credentials 360 do not include third-party fees.

Third-party fees may include, but are not limited to:

  • Government filing fees

  • State licensing fees

  • Medicare fees

  • Payer fees

  • Credential verification fees

  • Transcript fees

  • Notary fees

  • Courier fees

  • Background check fees

  • Professional database access fees

The Client remains solely responsible for all third-party fees and expenses.

Third-party fees are non-refundable.

11. Subscription Services

Certain services offered by Credentials 360 are subscription-based services billed on a recurring basis.

By purchasing a subscription service, the Client expressly authorizes recurring charges to the payment method provided at the billing frequency disclosed at checkout.

Subscriptions automatically renew unless cancelled prior to the next billing date.

Clients may manage, modify, or cancel subscriptions through their Credentials 360 account.

Subscription pricing may change in the future. Credentials 360 will provide advance notice of any price changes in accordance with applicable law and Company policy.

Cancellation of a subscription prevents future recurring charges but does not entitle the Client to a refund for subscription periods already billed.

Access to subscription benefits may terminate at the conclusion of the paid billing period following cancellation.

12. Accuracy Guarantee

Credentials 360 is committed to providing accurate and professional services.

For certain designated services, Credentials 360 may provide an Accuracy Guarantee.

For purposes of this guarantee, a "Credentials 360 Error" means a material administrative mistake made by Credentials 360 despite the Client having provided complete, accurate, and timely information.

Examples of a Credentials 360 Error may include:

  • Submission of incorrect information contrary to information supplied by the Client

  • Administrative omissions by Credentials 360

  • Clerical mistakes made by Credentials 360 personnel

The following do not constitute Credentials 360 Errors:

  • Payer decisions

  • Credentialing committee decisions

  • Medicare determinations

  • Licensing board decisions

  • Government agency decisions

  • Network participation decisions

  • Reimbursement determinations

  • Provider eligibility requirements

  • Missing or inaccurate information supplied by the Client

  • Delays caused by third parties

  • Changes in payer policies

  • Changes in government regulations

Where an Accuracy Guarantee applies and a service is rejected solely due to a Credentials 360 Error, Credentials 360 may, at its sole discretion:

  1. Correct and resubmit the affected application at no additional charge; or

  2. Provide a refund consistent with the applicable service description or Refund Policy.

This guarantee constitutes the Client's exclusive remedy for a Credentials 360 Error.

13. Refund Policy

Refund eligibility is governed by the Credentials 360 Refund Policy.

Except as expressly stated in the Refund Policy:

  • Services are non-refundable once work has begun.

  • Subscription fees already billed are non-refundable.

  • Third-party fees are non-refundable.

  • Refunds will not be provided due to payer decisions, licensing decisions, credentialing decisions, processing delays, reimbursement outcomes, or other third-party determinations.

Credentials 360 reserves the right to determine whether services have commenced for purposes of refund eligibility.

14. Project Delays and Client Inactivity

Many services require active participation and cooperation from the Client.

The Client agrees to provide requested documentation, information, approvals, attestations, and responses in a timely manner.

Credentials 360 shall not be responsible for delays resulting from:

  • Incomplete documentation

  • Missing information

  • Delayed responses by the Client

  • Delayed responses by third parties

  • Government processing delays

  • Payer processing delays

  • Licensing board processing delays

  • Credentialing organization processing delays

If the Client becomes unresponsive for more than thirty (30) consecutive days, Credentials 360 may place the project on inactive status.

If Client inactivity exceeds ninety (90) consecutive days, Credentials 360 may close the project without refund.

Reactivation of a closed project may require payment of additional service fees.

15. Limitation of Liability

To the fullest extent permitted by law, Credentials 360 shall not be liable for:

  • Lost profits

  • Lost revenue

  • Lost business opportunities

  • Lost reimbursement

  • Loss of contracts

  • Loss of employment opportunities

  • Loss of provider privileges

  • Delayed credentialing

  • Delayed enrollment

  • Delayed licensing

  • Regulatory actions

  • Consequential damages

  • Indirect damages

  • Special damages

  • Incidental damages

  • Punitive damages

To the fullest extent permitted by law, the total cumulative liability of Credentials 360 arising out of or relating to any claim, service, transaction, or agreement shall not exceed the total amount paid by the Client to Credentials 360 for the specific service giving rise to the claim.

The limitations contained in this section apply regardless of the legal theory asserted, including contract, tort, negligence, strict liability, or otherwise.

16. Indemnification

The Client agrees to defend, indemnify, and hold harmless Credentials 360, its owners, officers, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, liabilities, losses, damages, judgments, penalties, costs, and expenses arising out of:

  • Information supplied by the Client;

  • Client misconduct;

  • Client violation of applicable laws or regulations;

  • Client breach of these Terms;

  • Client misuse of the website or services;

  • Submission of unauthorized PHI or confidential information by the Client.

This obligation survives termination of the parties' relationship.

17. Intellectual Property Rights

All content available through the Credentials 360 website and services, including but not limited to:

  • Text

  • Graphics

  • Logos

  • Branding

  • Trade names

  • Service descriptions

  • Educational materials

  • Blog content

  • Articles

  • Downloadable resources

  • Checklists

  • Templates

  • Forms

  • Videos

  • Graphics

  • Training materials

  • Subscription content

  • Website design

  • Software

  • Databases

and all related intellectual property rights are owned by Credentials 360 or its licensors and are protected by applicable intellectual property laws.

No content may be copied, reproduced, distributed, modified, sold, licensed, republished, displayed, or otherwise exploited without prior written permission from Credentials 360.

Nothing in these Terms grants any ownership rights in Credentials 360 intellectual property.

18. User Submissions and Content License

Credentials 360 may offer opportunities for users to submit questions, comments, suggestions, feedback, ideas, testimonials, survey responses, or other content, including through the "Ask a Credentialing Specialist" feature ("User Submissions").

By submitting any User Submission, you grant Credentials 360 a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable, and non-exclusive license to use, reproduce, publish, display, modify, edit, adapt, translate, distribute, commercialize, create derivative works from, and otherwise exploit the User Submission in any media now known or later developed.

This license includes use in:

  • Website content

  • Blog articles

  • Educational resources

  • Social media posts

  • Newsletters

  • Email marketing campaigns

  • Training materials

  • Webinars

  • Podcasts

  • Membership content

  • Digital products

  • Print publications

  • Advertising

  • Promotional materials

  • Future products and services

Credentials 360 may edit, summarize, reformat, clarify, shorten, combine, categorize, or otherwise modify User Submissions for publication, educational, operational, compliance, or marketing purposes.

Credentials 360 may remove names, identifying details, employer names, facility names, payer names, patient information, or other information at its discretion.

User Submissions may be published anonymously, partially anonymized, or attributed only with the submitter's express permission.

No compensation, royalties, fees, commissions, or other consideration shall be owed to any submitter for use of User Submissions.

Credentials 360 has no obligation to publish, respond to, retain, or compensate any User Submission.

The rights granted under this section survive termination of these Terms.

19. Ask a Credentialing Specialist Disclaimer

The "Ask a Credentialing Specialist" feature is provided solely for educational and informational purposes.

Responses are based upon the facts presented by the submitter and may not apply to every situation.

Information provided through this feature does not constitute:

  • Legal advice

  • Medical advice

  • Accounting advice

  • Tax advice

  • Employment advice

  • Reimbursement advice

  • Regulatory advice

Users should consult qualified professionals regarding their specific circumstances.

Credentials 360 reserves the right to decline, edit, modify, delay, remove, or refuse publication of any submitted question.

20. Electronic Communications and Electronic Consent

By using the website or purchasing services, the Client consents to receive communications electronically.

Electronic communications may include:

  • Service updates

  • Transaction confirmations

  • Subscription notices

  • Renewal notices

  • Policy updates

  • Administrative messages

  • Marketing communications (where permitted)

Electronic communications satisfy any legal requirement that such communications be in writing.

The Client agrees that electronic signatures, electronic acknowledgments, and electronic acceptance of agreements are legally binding.

21. Website Disclaimer

The website and all content are provided on an "AS IS" and "AS AVAILABLE" basis.

Credentials 360 makes no warranties or representations regarding:

  • Accuracy

  • Completeness

  • Reliability

  • Availability

  • Suitability for any particular purpose

Credentials 360 disclaims all express and implied warranties to the fullest extent permitted by law.

22. Force Majeure

Credentials 360 shall not be liable for any delay, interruption, or failure to perform caused by events beyond its reasonable control, including but not limited to:

  • Natural disasters

  • Fire

  • Flood

  • Pandemic

  • Epidemic

  • Government action

  • Cybersecurity incidents

  • Internet outages

  • Utility failures

  • Labor disputes

  • Vendor failures

  • Third-party system outages

Performance shall be suspended during the duration of the force majeure event.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

24. Dispute Resolution

The parties agree to first attempt to resolve any dispute through good-faith negotiations.

If a dispute cannot be resolved informally, the parties agree to submit the dispute to mediation in Sacramento County, California before initiating litigation.

If mediation is unsuccessful, either party may pursue available legal remedies in a court of competent jurisdiction located in Sacramento County, California.

The prevailing party in any legal action shall be entitled to recover reasonable attorneys' fees and costs to the extent permitted by law.

25. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

26. No Waiver

Failure by Credentials 360 to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

27. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Subscription Policy, checkout disclosures, and any applicable service agreements, constitute the entire agreement between the parties regarding the subject matter herein.

28. Changes to These Terms

Credentials 360 reserves the right to modify these Terms at any time.

Updated Terms will be posted on the website with a revised Effective Date.

Continued use of the website or services following any changes constitutes acceptance of the revised Terms.
